Agreement to Terms

Please read these Terms carefully before using the Site or Services. By accessing or using the Site, Services and/or Content (defined below) in any manner, you agree to comply with these Terms and other handling of information as described in our Privacy Policy, ("www.macanstudios.com/privacy"), (the "Privacy Policy"). If you do not agree with these Terms and our Privacy Policy, you may not use our services.

Definitions

Client

Any individual or organization purchasing services from Macan Studios.

Project Manager

The designated individual from Macan Studios responsible for managing a specific project’s execution and acting as the main point of contact with the Client.

Services

All offerings provided by Macan Studios, including but not limited to web development, custom software, graphic design, and Discord server setup.

Agreement

A contractual relationship formed between the Client and Macan Studios upon acceptance of these Terms.

Service Agreement and Usage

Eligibility

Clients must be at least 18 years old or possess explicit parental or guardian consent to enter into this Agreement

Service Request

All services must be requested through the official communication channels, including our Discord server’s ticketing system.

Prohibited Uses

Clients agree not to misuse our services for illegal activities, fraud, or activities that violate intellectual property rights.

Amendments

Macan Studios reserves the right to update or modify the scope of services at its discretion.

Right to Refuse Orders

We reserve the right to refuse or reject any project order at our sole discretion, without the obligation to provide an explanation.

Client Responsibilities

Information Accuracy

Clients must provide accurate and complete information necessary for the execution of services.

Communication Protocol

All communications must strictly occur within the designated ticketing system on our Discord server. Unofficial communication channels, including direct messages, are discouraged and may result in project delays or termination of services.

Client Inactivity Policy

If the Client fails to respond for 30 calendar days after the project deliverables (e.g., source files or agreed-upon work) have been uploaded to the ticket, the order will be considered completed. The Project Manager will receive payment accordingly. No further revisions or claims will be entertained unless a new order is placed.

Dispute Submission

Disputes regarding deliverables, timelines, or other concerns must be raised within 30 calendar days of project delivery. Beyond this period, disputes will no longer be accepted.

Discord Account Responsibility

Access to certain features of our Service requires a valid Discord account. You are solely responsible for maintaining the confidentiality of your Discord account credentials and ensuring its secure use. All activities carried out under your Discord account are your responsibility. Unauthorized access or misuse should be reported to us immediately.

Deliverables and Intellectual Property

Ownership

All deliverables remain the property of Macan Studios until full payment is received. Upon payment completion, ownership rights are transferred to the Client.

Portfolio Rights

Macan Studios reserves the right to showcase completed projects in its portfolio unless explicitly restricted by the Client through a written agreement.

Payment, Revisions, and Project Scope

Payment Policy

All projects require a partial upfront payment before work begins. The remaining balance is due upon reaching predefined milestones or final delivery. Clients are responsible for any transaction fees incurred during payment.

Order Initiation

Once payment is confirmed, we will commence work on the project. No work will begin until the payment has been received and verified.

Revisions Policy

1. All orders include a predefined number of free revisions as agreed upon between the Client and the Project Manager during the order process.
2. Free revisions are limited to minor adjustments, such as typos, small design tweaks, or minor functionality corrections.
3. Significant changes that alter the scope of the original agreement (e.g., new features, redesigns, or functionality overhauls) will be subject to additional charges, which will be quoted separately.

Delivery Time and Revisions

1. Revisions, even minor ones, may extend the original delivery time depending on their complexity. The revised timeline will be determined by the Project Manager.
2. Any additional features or "add-ons" requested during the ongoing project will incur extra charges and may further extend the delivery time.

Scope of Work

The project will be executed strictly as per the original agreement made at the time of order placement. Revisions do not entitle the Client to modify the project scope or request features not included in the initial agreement.

Add-Ons and Mid-Project Changes

If the Client requests additional features, functionality, or modifications beyond the original agreement while the order is still in progress:

1. A custom quote will be provided for the requested changes.
2. Additional payment must be made upfront before the new work begins.
3. The delivery time will be extended accordingly, based on the scope of the requested changes.

Refunds and Dispute Resolution

No Refund Policy

Macan Studios operates under a strict no-refund policy. Once work has commenced following payment, no refunds will be issued.

Refund Exceptions

1. A partial refund may be considered only if the Project Manager fails to deliver the project within the agreed-upon delivery timeline.
2. In rare cases where the final deliverable significantly deviates from the agreed specifications and the Project Manager fails to address the issue after a reasonable correction period, a partial refund may be considered at our discretion.

Transaction Fees

Any transaction fees incurred during payment, such as cryptocurrency network costs or platform transfer charges, are non-refundable and remain the responsibility of the Client in all cases.

Arbitration

All disputes will be resolved through arbitration in accordance with local laws governing Macan Studios.

Confidentiality and Privacy

Confidential Information

The Client and the Project Manager agree to maintain the confidentiality of sensitive information shared during the project lifecycle.

Data Protection

Client data will be handled in compliance with applicable privacy laws. For more details, please refer to our Privacy Policy.

Liabilities and Indemnities

Liability Limitations

Macan Studios is not liable for indirect, incidental, or consequential damages arising from the use or inability to use our services.

Indemnification

Clients agree to indemnify and hold Macan Studios harmless from claims or liabilities resulting from the misuse of services.

Termination of Agreement

Termination by Client

The Client may terminate the Agreement at any stage by providing written notice. Upon termination, all ongoing work will cease, and the project will be considered closed. Termination does not affect the Client’s responsibility for any outstanding obligations agreed upon prior to termination.

Termination by Company

Macan Studios reserves the right to terminate the Agreement or discontinue services at any time if these Terms are violated. In such cases, any orders made may be forfeited, and no further services will be rendered.

General Terms

The Entire and Exclusive Understanding

These Terms (including the Privacy Policy) represent the full and final agreement between Macan Studios and the Client. They override any previous oral or written communications, understandings, or agreements regarding the Site, Services, or related functionality.

All official communications related to these Terms, including updates or changes, will be provided electronically via the Site or other designated platforms. By using our Services, the Client agrees to receive all notices, agreements, and updates through these digital channels.

Terms Modification Policy

Changes to Terms or Services

Macan Studios reserves the right to update these Terms or modify any part of its Services at any time, without prior notice. By continuing to use the Site or Services after such changes, you agree to be bound by the updated Terms.

If you do not agree to the modified Terms, you must stop using the Site and Services. We may also change or discontinue any part of the Site or Services at our sole discretion, with or without notice.
